Membership Terms of Service

IMPORTANT: Please read these Terms of Service carefully before signing up for or using our workspace. By purchasing a membership or day pass, or by accessing our facility, you agree to be bound by these Terms.

 

1. About This Agreement

These Terms of Service (“Agreement” or “Terms”) govern your access to and use of the workspace, amenities, and services (collectively, “Services”) provided by SCD Ventures DBA Peregrines Club (“the Space,” “We,” “Us,” or “Our”) located at 981 MA-28, South Yarmouth MA.

This Agreement is a license to use the Space and its Services. It does not create a lease, sublease, tenancy, real estate license, or any landlord-tenant relationship between You and the Space. We reserve the right to update these Terms at any time with reasonable notice.

 

2. Membership Plans & Day Passes

2a. Membership Types

We offer the following membership options, as described on our website and in our membership management system:

•       Hot Desk (Flexible): Access to any available shared desk on a first-come, first-served basis during open hours.

•       Day Pass: Single-day access to shared workspace for non-members or occasional users.

Specific features, included amenities, and pricing for each plan are listed on our website and are subject to change with thirty (30) days’ written notice.

2b. Membership Term

Memberships are month-to-month unless otherwise agreed in writing. Your membership begins on the date your first payment is processed and renews automatically on the same day each month (“Billing Date”) until cancelled in accordance with Section 5.

2c. License to Use

Your membership grants you a non-exclusive, non-transferable, revocable license to access and use the Space and Services according to your membership plan and these Terms. This license is personal to you and may not be assigned, transferred, or shared with others without our prior written consent.

 

3. Fees, Billing & Payment

3a. Monthly Fees

Monthly membership fees are billed automatically on your Billing Date using the payment method you have on file. By enrolling, you authorize us to charge your designated payment method for all fees due under this Agreement.

3b. Day Passes & One-Time Charges

Day passes and one-time fees (e.g., conference room bookings, printing credits) are due at the time of purchase and are non-refundable unless otherwise stated.

3c. Late Payments

If a payment fails, we will notify you and retry the charge. Accounts more than three (3) days past due are subject to a late fee of 10% of the outstanding balance per invoice, and we reserve the right to suspend your access to the Space until the balance is resolved.

3d. Price Changes

We may adjust membership pricing with thirty (30) days’ advance written notice sent to the email address on file. Continued use of the Space after the effective date of a price change constitutes your acceptance of the new pricing.

3e. Security Deposits

We may require a security deposit at enrollment for certain membership types. Security deposits will be held and returned within thirty (30) days of membership termination, less any deductions for unpaid balances, damages beyond normal wear and tear, or other amounts owed under this Agreement.

3f. Taxes

All fees are exclusive of applicable taxes, which will be added where required by law.

 

4. Access & Hours

4a. Access Hours

Standard operating hours are Monday–Friday, 9:00 AM–6:00 PM. Extended or 24/7 access may be available under certain membership plans as specified at enrollment. We reserve the right to modify operating hours with reasonable advance notice.

4b. Access Credentials

You will be issued access credentials (such as a key fob, access card, or mobile app access) appropriate to your membership plan. You are responsible for keeping your credentials secure. Lost or stolen credentials must be reported to us immediately. A replacement fee may apply.

4c. Guest Policy

Members may bring guests into common areas at their own discretion, provided guests are accompanied at all times and comply with these Terms. Guests are not permitted to use the Space for productive work unless they have purchased a day pass. Repeated or commercial use of guest privileges to circumvent membership fees may result in account termination.

4d. Closure & Interruptions

The Space may close for holidays, maintenance, or events of force majeure. We will provide advance notice whenever reasonably practicable. We are not liable for any losses arising from temporary closures.

 

5. Cancellation & Termination

5a. Cancellation by Member

You may cancel your membership at any time by providing written notice (email is acceptable) at least ten (10) days before your next Billing Date. Cancellations received after this deadline will take effect at the end of the following billing cycle. Monthly fees already charged are non-refundable.

5b. Termination by the Space

We reserve the right to suspend or terminate your membership immediately, without refund, if you:

•       Violate any provision of these Terms or our Code of Conduct (Section 7);

•       Fail to pay any fees when due after notice and a five (5) day cure period;

•       Engage in conduct that is disruptive, abusive, or harmful to other members or staff;

•       Use the Space for any unlawful purpose; or

•       Cause damage to the Space or its property.

In cases of less severe violations, we may issue a written warning before taking action.

5c. Effect of Termination

Upon termination or cancellation, your access credentials will be deactivated. You must remove all personal belongings from the Space within forty-eight (48) hours. Items not retrieved within that period may be disposed of at our discretion. Any outstanding balances remain due and payable.

 

6. Use of Amenities & Services

6a. Included Amenities

Your membership includes access to amenities as specified for your membership tier, which may include high-speed Wi-Fi, common area seating, shared kitchen facilities, printing (within plan limits), and use of common meeting areas.

6b. Conference Rooms & Private Spaces

Conference rooms and private call booths are bookable in advance through our membership platform. Usage beyond any credits included in your plan will be charged at posted rates. Bookings must be cancelled at least [e.g., 2 hours] in advance to avoid a no-show fee.

6c. Mail & Package Handling

Mail and package receipt services may be available as an add-on to certain membership plans. The Space is not responsible for lost, damaged, or misdirected mail or packages. We reserve the right to refuse delivery of excessive or oversized packages.

6d. Storage

Personal storage options (lockers, shelving) may be available at additional cost or as part of your membership tier. Items stored in common areas may be removed at our discretion.

 

7. Code of Conduct

All members, guests, and visitors are expected to maintain a productive, respectful, and professional environment. By using the Space, you agree to the following:

7a. General Conduct

•       Treat all members, staff, and guests with courtesy and respect.

•       Maintain a reasonable noise level in shared areas; take loud phone calls or meetings to designated areas or private spaces.

•       Keep shared areas clean and tidy. Clean up after yourself in the kitchen and common spaces.

•       Do not block walkways, emergency exits, or shared resources.

7b. Prohibited Activities

•       Conduct that is disruptive, threatening, harassing, or discriminatory in any form will not be tolerated.

•       The Space has a zero-tolerance policy for sexual harassment.

•       Canvassing, peddling, or directly soliciting other members for commercial purposes is prohibited without prior written consent from management.

•       Illegal activities of any kind are strictly prohibited on the premises.

•       Smoking, vaping, or the use of controlled substances is prohibited inside the Space and within [e.g., 25 feet] of any entrance.

•       Animals are not permitted on the premises, except for documented service animals.

7c. Technology & Network Use

•       Wi-Fi access is provided for lawful business use only. Bandwidth-intensive activities that degrade the network for others (e.g., torrenting, large personal backups) are not permitted.

•       You may not attempt to access other members’ devices, accounts, or data.

•       You are solely responsible for the security of your own devices and data.

7d. Damage to Property

You are responsible for any damage you or your guests cause to the Space, its furnishings, or equipment beyond normal wear and tear. You agree to promptly report any damage you observe, and to reimburse us for the full cost of repair or replacement for damage attributable to you.

 

8. Privacy & Confidentiality

8a. Member Privacy

We collect and process personal information in accordance with our Privacy Policy, which is available on our website and incorporated herein by reference. We do not sell your personal information to third parties.

8b. Confidentiality in the Workspace

The Space is a shared environment. We make reasonable efforts to provide a professional setting, but we cannot guarantee the confidentiality of conversations, screens, or documents in shared areas. You are responsible for protecting your own confidential information. Use private offices or phone booths for sensitive discussions.

8c. Security Cameras

The Space may use security cameras in common areas and entry points for safety and security purposes. Cameras are not installed in private offices, restrooms, or other areas where privacy is expected. Footage is retained for a limited period and is not shared except as required by law or in connection with a security incident.

 

9. Intellectual Property

All intellectual property created by you during your use of the Space remains your property. We claim no ownership rights in any work produced by members on our premises. Conversely, you acquire no rights in our trademarks, branding, or proprietary materials by virtue of your membership.

 

10. Liability & Indemnification

10a. Disclaimer of Warranties

THE SPACE AND ITS SERVICES ARE PROVIDED “AS IS.” WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR UNINTERRUPTED ACCESS.

10b. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SPACE AND ITS OWNERS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SPACE OR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total liability to you for any claim arising under this Agreement shall not exceed the total fees paid by you in the three (3) months preceding the event giving rise to the claim.

10c. Personal Property

The Space is not responsible for the loss, theft, or damage of any personal property, equipment, or data while on the premises. Members are encouraged to obtain appropriate insurance for valuable equipment and data.

10d. Indemnification

You agree to indemnify, defend, and hold harmless the Space and its owners, officers, employees, and agents from and against any claims, liabilities, damages, and expenses (including reasonable attorneys’ fees) arising out of (i) your use of the Space or Services, (ii) your violation of these Terms, or (iii) any harm caused by you or your guests.

 

11. Insurance

The Space maintains general liability insurance for the premises. However, this insurance does not cover your personal belongings, business equipment, or liability arising from your own activities. We strongly recommend that members carry their own renters’ or business insurance policy.

 

12. Dispute Resolution

12a. Informal Resolution

We encourage you to contact us directly at [email] to resolve any concerns. Most issues can be resolved quickly and informally.

12b. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of [State], without regard to its conflict of law principles.

12c. Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to this Agreement that cannot be resolved informally shall be submitted to binding arbitration administered by [e.g., the American Arbitration Association] under its Commercial Arbitration Rules. The arbitration shall take place in [City, State]. This clause does not prevent either party from seeking emergency injunctive relief in a court of competent jurisdiction.

12d. Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

 

13. General Provisions

13a. Entire Agreement

This Agreement, along with any membership plan details and policies incorporated by reference (including our Code of Conduct and Privacy Policy), constitutes the entire agreement between you and the Space with respect to the subject matter herein and supersedes all prior agreements and understandings.

13b. Amendments

We may amend these Terms at any time by providing notice to you via email or through the member portal. Continued use of the Space after the effective date of any amendment constitutes acceptance of the amended Terms.

13c. Severability

If any provision of this Agreement is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

13d. No Waiver

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of that right or provision.

13e. Electronic Signatures

This Agreement may be executed electronically. Electronic signatures shall have the same legal effect as original handwritten signatures.

13f. Force Majeure

We shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to natural disasters, pandemics, government actions, or infrastructure failures.

13g. Notices

All notices to the Space should be sent to [email address]. Notices to you will be sent to the email address on file with your membership account.

 

14. Acknowledgment & Signature

By signing below (or by completing electronic enrollment), you confirm that you have read, understood, and agreed to these Terms of Service.
